These Terms of Use ("Terms") govern your access to and use of the SCHINEX CORPORATION website and related online content and services (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms apply only to general Site use. A separate written proposal, purchase order, customer agreement, supplier agreement, project agreement, employment agreement, nondisclosure agreement, or other contract may contain different or additional terms and will govern the subject matter covered by that agreement.

1. Informational Website; No Offer or Commitment

The Site is provided for general corporate, informational, and business-development purposes. Site content does not constitute an offer, quotation, bid, commitment, guarantee, or acceptance of any transaction, project scope, commercial term, delivery schedule, equipment availability, performance level, or service obligation unless expressly stated in a separate written agreement executed by authorized representatives of SCHINEX.

Descriptions of capabilities, products, industries, manufacturers, project-delivery approaches, or potential services are illustrative and may change based on project requirements, jurisdiction, licensing, availability, supply chain, technical evaluation, commercial terms, and written agreement.

2. No Professional Advice; Project-Specific Evaluation Required

Content on the Site, including Market Insights and technical or industry commentary, is general information only and is not engineering, legal, financial, investment, tax, procurement, safety, regulatory, or other professional advice. Technical, commercial, permitting, code, interconnection, equipment, safety, schedule, supply-chain, and project requirements vary by project and jurisdiction.

You are responsible for performing project-specific diligence and obtaining appropriate licensed, legal, technical, financial, safety, regulatory, or other professional advice before relying on Site content for a decision or action.

3. Engineering, EPC, Construction, and Other Regulated Services

Descriptions of technical, engineering-related, EPC, construction, commissioning, project-delivery, field, or lifecycle capabilities are subject to project scope, jurisdiction, applicable law, licensing, authorization, and contractual structure.

Where regulated professional engineering, licensed contracting, or another regulated professional service is required, that service will be performed through appropriately licensed professionals, contractors, or authorized firms as required by applicable law. Nothing on the Site represents that SCHINEX independently holds every professional or contractor license that may be required in every jurisdiction.

Descriptions of integrated or turnkey delivery models do not create a commitment that SCHINEX will act as engineer of record, contractor of record, EPC contractor, construction contractor, or another regulated provider on a particular project.

4. Market Insights and Third-Party Information

Market Insights may reference, summarize, or discuss information from government agencies, laboratories, grid operators, manufacturers, industry publications, market participants, data providers, and other third-party sources. SCHINEX may also provide its own perspective or interpretation based on that information.

Third-party information may be revised, delayed, incomplete, subject to methodology limitations, or become outdated. SCHINEX does not warrant that third-party data, forecasts, estimates, market statistics, queue information, lead times, cost information, or other third-party content is accurate, complete, current, or suitable for a particular purpose at the time you view it.

References to third parties, agencies, publications, trademarks, products, or data sources do not imply affiliation with, sponsorship of, approval by, or endorsement of SCHINEX unless expressly stated.

5. Quotes, Proposals, Products, and Transactions

Product descriptions, equipment categories, manufacturer references, project-delivery descriptions, or other commercial information on the Site are not binding specifications or commitments. Actual products, technical requirements, pricing, lead times, warranties, payment terms, delivery obligations, acceptance criteria, and other transaction terms will be stated in the applicable written quotation, purchase order, contract, or other signed agreement.

No Site submission, email inquiry, or other general communication creates a purchase order, customer relationship, supplier appointment, exclusive relationship, partnership, agency, fiduciary relationship, joint venture, or other binding business relationship unless SCHINEX expressly agrees in writing.

SCHINEX may restrict or terminate access to the Site where reasonably necessary to protect the Site, enforce these Terms, comply with law, or address misuse.

8. Forms, Communications, and Career Submissions

Submitting a Contact form, Career form, resume, inquiry, request for information, or other communication does not create a confidential, fiduciary, employment, agency, customer, vendor, engineering, contractor, partnership, or other legal relationship with SCHINEX.

Do not submit confidential, classified, export-controlled, security-sensitive, proprietary, or legally privileged project information through a general website form unless SCHINEX has expressly authorized that method of transmission and appropriate protections are in place.

Career submissions do not constitute an offer or guarantee of employment. SCHINEX may evaluate submitted information for current or future opportunities in accordance with the Privacy Policy.

9. Privacy, Cookies, Analytics, and Security Technologies

Use of the Site is also subject to the SCHINEX Privacy Policy, which explains how SCHINEX collects, uses, and discloses personal information and describes the Site’s use of cookies and related technologies, including Google Analytics and Google reCAPTCHA. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SCHINEX DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES REGARDING THE SITE OR CONTENT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY, OR THAT THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED.

SCHINEX DOES NOT WARRANT THAT ANY EQUIPMENT, SERVICE, PROJECT STRUCTURE, COMMERCIAL TERM, LEAD TIME, TECHNICAL APPROACH, REGULATORY PATH, OR MARKET CONDITION DESCRIBED ON THE SITE WILL BE AVAILABLE, APPROVED, OR APPROPRIATE FOR A PARTICULAR PROJECT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHINEX AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO USE OF OR INABILITY TO USE THE SITE OR RELIANCE ON SITE CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHINEX’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING SOLELY TO GENERAL SITE USE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT TO THE EXTENT A DIFFERENT LIMIT IS REQUIRED BY APPLICABLE LAW. THIS LIMIT DOES NOT ALTER LIABILITY EXPRESSLY ASSUMED BY SCHINEX UNDER A SEPARATE WRITTEN AGREEMENT.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SCHINEX and its affiliates, directors, officers, employees, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful misuse of the Site, your violation of these Terms, or your infringement of third-party rights. This provision does not apply where prohibited by law.

15. Changes to the Site or These Terms

SCHINEX may modify, suspend, or discontinue Site content or functionality at any time. SCHINEX may also revise these Terms. The effective date and last-updated date at the beginning of this document identify the current published version. Continued use of the Site after revised Terms are posted constitutes acceptance to the extent permitted by law.

16. Governing Law and Venue

These Terms and disputes arising solely from general use of the Site are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where another law must apply and cannot lawfully be waived. Subject to any mandatory law that provides otherwise, exclusive jurisdiction and venue for disputes arising solely from general Site use will lie in the state or federal courts located in Delaware.

Project, commercial, employment, supplier, or other contractual disputes are governed by the dispute-resolution provisions of the applicable separate written agreement, if any.

17. Severability; No Waiver

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. SCHINEX’s failure to enforce a provision is not a waiver of that provision or any other right.

18. Entire Agreement for Site Use

These Terms, together with the Privacy Policy and any additional notices expressly incorporated into them, constitute the agreement between you and SCHINEX concerning general use of the Site. They do not supersede a separately executed written agreement concerning a transaction, project, employment, supplier relationship, or other business matter.
